EKHIE MARKETPLACE AGREEMENT

Introduction

Welcome to the ekhie Marketplace. This Seller Agreement contains the terms & conditions of how to sell on Ekhie Marketplace also known as ekhie.com which applies to both the seller/vendors and ekhie and all its online and offline divisions, operated by Ekhie Services Limited.

The website ekhie.com is a Marketplace and is owned and operated by Ekhie MarketPlace registered with the Federal Republic of Nigeria. Ekhie reserves the sole right, to modify, change, add, or remove part of the Terms and Conditions of Sale at any time without prior notice. Changes will be effective when posted on the Site with no other notice provided. Please check these Terms and Conditions regularly for updates. Your continued use of the Marketplace following the posting of changes to these Terms and Conditions constitutes your acceptance of those changes.

Please you are strongly advised to kindly review the Terms and Conditions of Selling listed below diligently before using this marketplace or our services as your use of the website or services indicates your agreement to be wholly bound by its Terms and

Conditions without modification.

Any amendments to this Agreement shall become effective and binding on the seller as soon as the amendments have been published to the Seller Portal and/or Ekhie as applicable).

INTERPRETATION

No provision shall be construed against or interpreted to the disadvantage of any party because of such a Party having or being deemed to have structured or drafted such provision. The rule of interpretation that an agreement will be interpreted against the Party responsible for the drafting and any similar rules of interpretation shall not apply to this Agreement and the Parties waive any rights they have to rely on such rules.

Terms other than those defined within this Agreement will be given their plain English meaning, and those terms, acronyms, and phrases known in the information and communications technology industry shall be interpreted per their generally accepted meanings.

If any conflict exists between the provisions of this Agreement and any Annexures attached hereto, the provisions of the

Annexures shall prevail.

When any number of days is prescribed in this Agreement, it shall be reckoned to exclude the first and to include the last day.

Any reference in this Agreement to legislation or subordinate legislation is to such legislation or subordinate legislation at the date of signature hereof and as amended and/or re-enacted from time to time.

Words importing the singular shall include the plural, and vice versa, words importing the masculine gender shall include the feminine and neuter genders, and vice versa and words importing natural persons shall include legal persons and vice versa.

Terms and Conditions of Selling on Ekhie

General

As a seller, you confirm that you are at least 18 years of age or you are accessing our service under the supervision of a parent or legal guardian and you agree to abide by our seller’s Terms and Conditions governing our marketplace ekhie.com. These Terms and Conditions of Selling fully govern the sales of goods and services purchased on this Site. No extrinsic evidence, whether oral or written, will be incorporated.

Ekhie Marketplace Seller Agreement

This Marketplace Seller Agreement is between Ekhie MarketPlace, a Nigerian e-commerce company also known as ekhie.com, and you (“Seller”).

Ekhie operates an e-commerce website directly and offers unrelated sellers the opportunity to list merchandise for sale directly to Customers on the ekhie website (“Marketplace”).

Ekhie wants to offer Sellers the opportunity to sell goods or services through its Marketplaces.

Seller wants to sell goods or services to Customers using ekhie

Marketplace… The parties, therefore, agree as follows:

Marketplace Commission

The seller agrees that ekhie shall deduct a sales commission of 10% , 7%, 5% depending on the packages selected from all checkouts of the seller when traded on ekhie Marketplace.

VAT

The seller agrees that 7.5% VAT will be added to every Ticket you (seller) puts on the Ekhie market place.

Acceptance of Electronic Documents

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Payment methods

The seller agrees that customers can choose to pay at checkout via PayPal or card via our partner platform Flutterwave. This decision is dependent solely on the customer.

Vendor tabs

The vendor agrees to keep their pages up to date on available events.

Indemnity

You agree to indemnify us, our affiliates, officers, directors, agents, and/or employees, as the case may be, free from any claim or demand, including reasonable legal fees, related to your breach of these Terms and Conditions of Sale.

Ticket Purchasing Customer 

The ticket purchasing customer agrees to pay in full and hold on to the ticket to show as evidence at venues of the event as scheduled by the vendor. Tickets cannot be resold, if caught reselling a fine of 50,000 Naira will be paid to The Ekhie

MarketPlace account.

Applicable Law and Jurisdiction

These Terms and Conditions of Sale shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. Subject to the Arbitration section below, each party hereby agrees to submit to the jurisdiction of the courts of Nigeria and to waive any objections based upon venue.

Miscellaneous Provisions

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Assigning or sub-contracting any of your rights or obligations under these Terms and Conditions of Sale to any third party is prohibited unless agreed upon in writing by the seller.
